The Conflict Between JSC “Komineft” and Investors with an Increase in the Authorized Capital of the Company

The case studies the real conflict that has arisen between Komineft JSC and foreign investors in connection with the increase in the authorized capital of the company.
The case is recommended for discussion in study groups enrolled in programs of different levels (bachelor’s, master’s) in the disciplines: “Corporate Law and Audit”, “Securities Market”, “Corporate conflicts”, “Corporate Management”, “Effec-tive Management”, “Financial Management”. Case analysis contributes to the development of the following competencies: the ability to assess the effectiveness of decisions made by the company’s management; skills in searching and analyzing regulations related to the issue of securi-ties; risk management in the issue of securities; knowledge of the rights of securities owners; identification of the main causes of violations of corporate law; identification of the causes of corporate conflicts; development of a strategy to pre-vent corporate conflicts related to the additional issue of shares.
